1. Definitions
- We / us / Magnetic Solutions: Eligo BV, trading as Magnetic Solutions, with the details above.
- Customer / you: Any person or entity placing an order with us.
- Consumer: A natural person acting for purposes outside their trade, business, craft or profession.
- Business customer: A natural or legal person acting for purposes relating to their trade, business, craft or profession.
- Products: Magnets and related products offered in our online shop.
Where these terms say "consumers only" or "business customers only", that article applies only to that group. Everything else applies to all customers.
2. Scope
2.1 These terms apply to all offers, orders and contracts made through our online shop at magneticsolutions.net and to quotes we issue.
2.2 For business customers, these terms apply to the exclusion of the customer's own general terms and conditions, unless we have expressly accepted them in writing.
2.3 Nothing in these terms limits the rights consumers have under mandatory consumer law.
3. Products and product information
3.1 We describe our products, dimensions and technical data (such as grade, tolerance, coating and pull force) as accurately as possible. Images are illustrative.
3.2 Pull-force figures are indicative values taken from our suppliers' data, measured under ideal laboratory conditions (thick, flat steel, direct contact, perpendicular pull). Actual holding force in real applications is lower and depends on the application. The customer is responsible for checking that a product is suitable for the intended use.
3.3 Obvious errors in product information or prices do not bind us.
4. Prices
4.1 Prices are in euros only. Each price is shown excluding VAT, with the price including VAT shown below it. The incl.-VAT price shown in the shop includes Belgian VAT at 21%.
4.2 The VAT that applies to your order depends on your status and delivery country, and is calculated and shown at checkout before you place your order. Consumers always see the total price including VAT before ordering.
4.3 For orders below €50.00 excluding VAT, the shipping cost is €4.99 excluding VAT to any destination worldwide. Orders of €50.00 or more excluding VAT (after discounts) are shipped free of charge to any destination worldwide. See our Shipping Policy.
4.4 For deliveries outside the EU, no Belgian VAT is charged. We pay the import duties, import VAT and customs clearance fees, so you pay nothing extra on delivery.
4.5 Volume discounts and quotes: We offer volume discounts on larger quantities on request. A quote is valid for 30 days from its date, unless stated otherwise, and is based on the quantities quoted.
5. VAT for business customers
5.1 Business customers established in an EU member state other than Belgium who provide a valid VAT number at checkout are invoiced without VAT under the intra-community reverse-charge rules, provided the goods are shipped to another EU member state. We verify VAT numbers through the EU VIES system. If a VAT number turns out to be invalid, we may charge the applicable VAT afterwards.
5.2 Business customers established in Belgium are charged Belgian VAT.
5.3 The customer is responsible for the accuracy of the company and VAT details provided.
6. Orders and conclusion of the contract
6.1 Product presentations in our online shop are an invitation to order. By completing checkout and clicking the order button, you place a binding order.
6.2 We confirm receipt of your order by email. The contract is concluded when we send this order confirmation email.
6.3 We may refuse or cancel an order in case of obvious price errors, suspected fraud, unavailability of stock, or if the customer does not meet these terms. Any payment already made will be refunded promptly.
6.4 If stock is unavailable after you have ordered, we'll inform you and offer a later delivery date or a full refund of the unavailable items.
6.5 The contract language is English.
7. Payment
7.1 We accept all payment methods offered at our checkout through Shopify Payments, as well as PayPal and bank transfer. The methods available for your order are shown at checkout.
7.2 Orders are shipped after payment has been received. Payment by bank transfer is payment in advance, unless stated otherwise: we ship the order once the full amount has been received in our account.
7.3 Business customers only: we don't offer payment on invoice with a payment term, unless we have expressly agreed otherwise in writing. In case of late payment of any amount due, statutory interest and a flat-rate compensation for recovery costs are due by law without prior notice, in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions.
7.4 Consumers only: if payment is late, we will send a free reminder first. Any interest or compensation for late payment will only be charged within the limits of Belgian consumer law.
8. Delivery and transfer of risk
8.1 We ship worldwide from Belgium. Delivery methods, estimated delivery times and costs are set out in our Shipping Policy. Delivery times are estimates.
8.2 Consumers: we deliver within 30 days of the order unless another date has been agreed. If we fail to do so, you may set an additional reasonable period and, if we still don't deliver, cancel the contract and receive a full refund. The risk of loss or damage passes to you when you, or a third party you designated (other than the carrier), take physical possession of the goods.
8.3 Business customers: delivery dates are indicative; late delivery does not entitle you to compensation or cancellation unless agreed in writing. Risk passes when the goods are handed over to the carrier.
8.4 We may deliver an order in several parts; partial deliveries don't create extra shipping costs for the customer.
9. Retention of title
The products remain our property until the full price (including any costs and interest) has been paid.
10. Right of withdrawal (consumers only)
10.1 Consumers have the right to withdraw from the contract within 14 days without giving any reason, as set out in our Returns & Refunds Policy, which includes the model withdrawal form. Consumers can also withdraw online using our withdrawal form.
10.2 If a consumer withdraws, the consumer bears the direct cost of returning the goods. We refund the purchase price and the original standard delivery costs within 14 days of being informed of the withdrawal. We may withhold the refund until we have received the goods back or the consumer has supplied proof of having sent them.
10.3 Business customers have no statutory right of withdrawal. Returns by business customers are only possible under the conditions in Part B of our Returns & Refunds Policy.
11. Conformity and guarantee
11.1 Consumers: you benefit from the legal guarantee of conformity for two years from delivery, in accordance with the Belgian Civil Code. You must inform us of a lack of conformity within two months of discovering it. The remedies are repair or replacement, or, where that is impossible or disproportionate, a price reduction or termination of the contract.
11.2 Business customers: you must inspect the products on delivery. Visible defects and incorrect quantities must be reported in writing within 8 days of delivery; hidden defects promptly after discovery and at the latest within 12 months of delivery. After that, the products are deemed accepted. Our obligations are limited, at our choice, to repair, replacement or refund of the defective products.
11.3 The following are not defects: chipping or breakage caused by magnets snapping together or against steel; loss of strength from heating above the maximum operating temperature or exposure to strong opposing fields; corrosion from use in unsuitable conditions; and a lower holding force in the application than the indicative pull force (see article 3.2).
12. Safety
12.1 Strong magnets can cause injury (pinching, splinters from breakage) and can interfere with pacemakers and other medical implants, electronic devices and data carriers. Small magnets are dangerous if swallowed.
12.2 The customer must follow the safety information supplied with the products and on our magnet safety page, and pass it on to anyone who uses or resells the products.
12.3 Our products are not toys and must be kept out of the reach of children.
13. Liability
13.1 Business customers: to the extent permitted by law, our total liability is limited to the invoice value of the order concerned. We are not liable for indirect or consequential loss, including loss of profit, loss of production, loss of data or damage from unsuitable use of the products. These limitations do not apply in the case of fraud, intent or gross negligence, or where mandatory law provides otherwise.
13.2 Consumers: we are liable in accordance with the applicable law. Nothing in these terms excludes or limits our liability for death or personal injury caused by our fault, for fraud, intent or gross negligence, or under the rules on product liability.
14. Force majeure
We are not liable for failure or delay in performance caused by circumstances beyond our reasonable control, such as carrier disruptions, strikes, extreme weather, epidemics, supply shortages or government measures. If force majeure lasts longer than 30 days, either party may cancel the affected order without compensation. Any payments for undelivered products will be refunded.
15. Intellectual property
All content of our website (texts, photos, logos, layout) belongs to Eligo BV or its licensors and may not be used without our prior written permission.
16. Personal data
We process personal data in accordance with our Privacy Policy and the General Data Protection Regulation (GDPR).
17. Complaints
Complaints can be sent to info@magneticsolutions.net. We aim to respond within 5 working days. Consumers who are not satisfied can contact the Belgian Consumer Mediation Service (www.consumerombudsman.be).
18. Applicable law and jurisdiction
18.1 These terms and all contracts with us are governed by Belgian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
18.2 Consumers: the choice of Belgian law does not deprive you of the protection of mandatory provisions of the law of the country where you live. You may bring proceedings in the courts of Belgium or of your country of residence.
18.3 Business customers: all disputes fall under the exclusive jurisdiction of the courts of Antwerp, Turnhout division.
19. Changes
We may change these terms. The version published on our website at the time of your order applies to that order.
